Scientific and practical seminar "Legal regulation of business security under martial law"
General Information
On the initiative of the students of the Faculty of International Trade and Law, from May 29 to June 2, 2023, the Department of Legal Support of Business Security organised and held a scientific and practical seminar "Legal Regulation of Business Security under Martial Law". The Chairman of the organising committee is Ruslan Melnychenko, Head of the Department of Legal Support of Business Security, PhD in Law, Attorney. The Deputy Chairman is Hanna Shvedova, Associate Professor of the Department, PhD in Law, Associate Professor.
The purpose of the scientific and practical seminar is developing fundamental and applied scientific research aimed at solving urgent problems of corporate security legal regulation under martial law. The speakers of the scientific and practical seminar were the lecturers of the Department, who expressed their professional position on topical legal issues of business security using multimedia technologies in the online format.
The programme of the scientific and practical seminar included presentations by speakers on specific topics and subsequent discussions, namely:
On May 29, 2023, the first block of practical corporate security issues was presented to students and all other participants:
- Ruslan Melnychenko, Head of the Department, PhD in Law, Attorney, delivered a report on "Abuse of Corporate Rights", which covered such theoretical and practical aspects of the topic as: abuse of corporate law in civil law, corporate blackmail of minority participants (shareholders), abuse of the construction of significant transactions and related-party transactions, manipulation of decisions of the general meeting of participants (shareholders);
- Olha Soniuk, Associate Professor of the Department, PhD in Law, presented a report on "Corporate Conflicts and Disputes between Participants of a Corporate-type Business Organisation", during which the following practical issues were presented for discussion: prerequisites for the occurrence of a corporate conflict, out-of-court protection of violated subjective corporate rights and interests, judicial protection of violated subjective corporate rights and interests, grounds for termination of a corporate conflict.
On May 30, 2023, the second block of practical corporate security issues was presented to students and all other participants:
- Hanna Shvedova, Associate Professor of the Department, PhD in Law, presented a report on "Anti-Corruption Compliance", which included the following relevant theoretical and practical issues: the concept of "anti-corruption compliance", responsible persons for the implementation of anti-corruption policy in the enterprise, compliance functions, risk management in their activities, legal anti-corruption compliance tools, legal regulation of corruption prevention in business at the national level;
- Viktor Nikitenko, Associate Professor of the Department, PhD in Law, presented a report on "Corporate Investigation at an Enterprise, Institution, Organisation", during which the following practical issues were discussed: the concept and general provisions of corporate investigation in the field of entrepreneurial activity, the procedure for conducting an internal investigation at state-owned enterprises (institutions, organisations), peculiarities of internal investigation of certain facts of corporate fraud, registration and implementation of the results of corporate (internal) investigation.
On May 31, 2023, the third block of practical corporate security issues was presented to students and all other participants:
- Oleksii Alonkin, Associate Professor of the Department, PhD in Law, presented a report on "Legal Service at the Enterprise", which included the following topical issues: the place and role of the legal service at the enterprise, structure and management of the legal service, organisation of the legal service through planning, peculiarities of internal legal work of the legal service at the enterprise, peculiarities of outsourcing to external legal advisers, professional legal assistance of a lawyer;
- Andrii Zakharchuk, Professor of the Department, Doctor of Law, presented a report on "Risks and Threats in Business", during which the following practical issues were discussed: the concept of corporate security threats, types of corporate security threats, forms of corporate security threats, the company's strategy for preventing and counteracting corporate security threats.
On June 01, 2023, the fourth block of practical issues of corporate security was presented to students and all other participants:
- Anzhela Koriahina, Associate Professor of the Department, PhD in Law, presented a report on "Industrial Espionage and Commercial Intelligence", which included the following topical issues: the concept of "industrial espionage" and its essence, the concept, purpose, objectives and principles of competitive intelligence in the enterprise, intelligence information: sources, types and characteristics, organisation of the competitive intelligence service in the enterprise;
- Olha Podilchak, Associate Professor of the Department, PhD in Law, presented a report on "Hostile Takeover (Raiding) of Business Entities", during which the following practical issues were discussed: types and models of hostile takeover of business entities, illegal takeover of business entities, peculiarities of qualification of criminal offences related to hostile takeover of business entities through forgery of documents submitted for state registration of legal entities and individuals - entrepreneurs.
On June 02, 2023, the fifth block of practical issues of corporate security was presented to students and all other participants:
- Nataliia Bondarenko, Associate Professor of the Department, PhD in Law, presented a report on "Personnel Security at the Enterprise", which included the following relevant theoretical and practical issues: enterprise personnel as a source of dangers and threats to its activities, peculiarities of admission of employees to work with documents and materials containing information with limited access - commercial secrets, counteraction to fraudulent actions by personnel in the system of economic security of the enterprise, stages of selection of enterprise personnel, verification of candidates, corporate ethics as a tool for e
- Olena Sytnichenko, Associate Professor of the Department, PhD in Law, presented the report "Legal Means of Counteracting Corporate Fraud at the Enterprise", during which the following practical issues were discussed: reasons for committing corporate fraud, signs and their types, forms of corporate fraud at the enterprise, methods of committing embezzlement of budget funds at state and municipal enterprises, legal mechanisms for counteracting corporate fraud at the enterprise.
Students of all academic degrees who attended the seminar and made their own proposals actively participated in the discussion of the relevant issues of the seminar. In particular, it is worth mentioning Roman Boldak, a student of the Faculty of International Trade and Law, who offered his vision of solving the problem of legal business security during martial law, which sparked a lively discussion in the audience.
The scientific event allowed to identify priority areas and proposals for the post-war reconstruction of Ukraine in the economic, legal and social field in an open discussion format. The panel "Development of Law under Martial Law" was attended by more than 130 best representatives of the young scientific elite, who were mainly students of the speciality "Law", bachelor's and master's degree programmes: "Commercial Law", "Financial Law", "Civil Law and Procedure", "Legal Support of Business Security", "International Law".
As a result of the panel discussion, SUTE's lecturers have deepened their cooperation in updating the educational programmes to further professionalise them and bring them as close as possible to the requirements of the legal profession under martial law. It is only by combining the efforts of science and practice that Ukraine's strategically important issues in higher legal education can be resolved.
